Practice Summary:
Thomas J. Boodell,
Jr. concentrates his practive in the area of
corporate counseling with emphasis on domestic and
international corporate transactions, including
mergers and acquisitions, joint ventures, sales,
distribution and manufacturing contracts, technology
transfer agreements and financing documentation.
In the early years of his practive, Mr. Boodell was
a trial attorney in commercial and civil rights
cases in the state and federal courts in Illinois.
He was one of the lead counsels for several major
civil rights class action housing cases in the
Chicago area known as the Contract Buyers Cases. He
also served as principal court appointed counsel for
distribution of major settlement funds in class
action antitrust litigation.
Since the late 1970's he has
been deeply involved in representing corporate
clients both in the U.S. and abroad. He has worked
extensively with clients in expanding their business
to countries in North America, Asia, Europe and
South America as well as with companies from
overseas entering the U.S. market. Preparing and executing documents for
the sale of corporations.
Mr. Boodell is also
active in the area of alternate dispute resolution,
assisting clients in resolving conflicts out of
court in an economical and timely manner. He has
served as both an arbitrator and mediator and
maintains a strong interest in all methods of
alternate dispute resolution.
Representative Matters:
Mr.
Boodell's recent experiences include the following:
- Representing several not fro
profit borrowers in obtaining industrial revenue
bond financing in Illinois and Colorado.

Advising a U. S. company on the restructuring and
potential sale of its operating businesses in
Europe.
- Advising U.S. companies in
establishing joint ventures in Brazil, Mexico,
Japan, China, and Korea.
- Advising a U.S.
company on restructuring its operating companies,
transfer of a significant portion of its assets to a
tax free foundation, sale of a major division to a
third party, and protection of its domestic and
international intellectual property rights.

Appointed a Court Designated Arbitrator by the
Honorable Joan Gottschall, Judge, U.S. District
Court for the Northern District of Illinois, in a
difficult case which was resolved by the parties
after a number of hearings before Mr. Boodell.
- Counseling Asian companies on major litigation
matters in the U.S.
- Advising a Korean
company on significant antitrust implications of its
activities in and outside the U.S.
- Representing Asian and European Companies in
their business activities in the U.S.
Professional Activities:
Mr. Boodell is a fellow of the American Bar
Foundation and a memeber of the American Bar
Association and the Chicago Bar Association. He
serves as a Board Member of the Japan America
Society of Chicago, is a past president of the
Harvard Law Society of Illinois, and is a Trustee of
the Wendy Will Case Cancer Fund and the Catholic
Theological Union, both of Chicago. He has spoken
and participated in panels at international legal
symposiums, particularly those involving issues of
doing business in various Asian countries, and
spoken at meetings of the Inter-Pacific, the
American and the Chicago Bar Associations. In 1985
he participated in the Japan Study Program for
International Executives sponsored by the Japan
Economic Foundation in Tokyo, Japan. From 1968 to
1971 he was a Fellow of the Adlai Stevenson
Institute of International Affairs in Chicago. He is
also currently a member of the Catholic Jewish
Dialogue Group in Chicago, and the Tripartite
Dialogue between Catholics, Jews and Muslims at
Catholic Theological Union in Chicago. Recently, he
has agreed to serve as a Co-Chair of the Center for
Civil and Human Rights of the University of Notre
Dame Law School at South Bend, Indiana.
Education:
Mr.
Boodell received his B.A. in History from Princeton
University and J.D. from Harvard Law School. After
college he served three years as an officer in the
U.S. Navy, two of those years stationed in Japan. He
has practiced law in Chicago since his admission to
practice in Illinois in 1964.
