PRACTICE SUMMARY
Thomas J. Boodell, Jr. concentrates his practice in the area of corporate counseling with emphasis on domestic and international corporate transactions, including mergers and acquisitions, joint ventures, sales, distribution and manufacturing contracts, technology transfer agreements and financing documentation.
In the early years of his practice, Mr. Boodell was a trial attorney in commercial and civil rights cases in the state and federal courts in Illinois. He was one of the lead counsels for several major civil rights class action housing cases in the Chicago area known as the Contract Buyers Cases. He also served as principal court appointed counsel for distribution of major settlement funds in class action antitrust litigation.
Since the late 1970's he has been deeply involved in representing corporate clients both in the U.S. and abroad. He has worked extensively with clients in expanding their businesses to countries in North America, Asia, Europe and South America as well as with companies from overseas entering the U.S. market.
Mr. Boodell is also active in the area of alternate dispute resolution, assisting clients in resolving conflicts out of court in an economical and timely manner. He has served as both an arbitrator and mediator and maintains a strong interest in all methods of alternate dispute resolution.
REPRESENTATIVE MATTERS
Mr. Boodell's recent experiences include the following:
Representing a not for profit borrower in obtaining industrial revenue bond financing in Illinois and Colorado.
Advising a U.S. company on the restructuring and potential sale of its operating businesses in Europe.
Advising U.S. companies in establishing joint ventures in Brazil, Mexico, Japan and China.
Advising U.S. companies on manufacturing and real estate investment opportunities in Korea.
Advising a U.S. company on restructuring its operating companies, transfer of a significant portion of its assets to a tax free foundation, sale of a major division to a third party, and protection of its domestic and international intellectual property rights.
Counseling Korean companies on setting up U.S. sales and manufacturing facilities.
Counseling Asian companies on major litigation matters in the U.S.
Advising a Korean company on significant antitrust implications of its activities in and outside the U.S.
Representing a U.S. company on the sale of a major division to a Fortune 100 U.S. entity.
PROFESSIONAL ACTIVITIES
Mr. Boodell is a Fellow of the American Bar Foundation and a member of the American Bar Association, The International Bar Association, the Inter-Pacific Bar Association, and the Chicago Bar Association. He serves as a Board Member of the Japan America Society of Chicago, the Harvard Law Society of Illinois, the Wendy Will Case Cancer Fund and the Catholic Theological Union. He has spoken and participated in panels at international legal symposiums, particularly those involving issues of doing business in various Asian countries, and spoken at meetings of the Inter-Pacific, the American and the Chicago Bar Associations. In 1985 he participated in the Japan Study Program for International Executives sponsored by the Japan Economic Foundation in Tokyo, Japan. From 1968 to 1971 he was a Fellow of the Adlai Stevenson Institute of International Affairs in Chicago.
EDUCATION
Mr. Boodell received his B.A. in History from Princeton University and J.D. from Harvard Law School. He has practiced law in Chicago since his admission to practice in Illinois in 1964.
